1. Acceptance of Terms

By accessing or using EstateFlow ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform.

2. Description of Service

EstateFlow provides a proprietary, cloud-based Job Workflow and Compliance Management System for professional estate liquidators. The Platform is a Software-as-a-Service (SaaS) solution designed for business entities engaged in estate sale operations, offering tools for client intake, inventory management, pricing, contract generation, POS integration, and settlement processing.

3. User Accounts

  • You must provide accurate and complete account information.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity under your account.
  • You must notify us immediately of unauthorized use of your account.

4. Professional User Responsibilities

As a Professional User (business entity) of EstateFlow, you acknowledge and agree to the following responsibilities:

  • Provide truthful and accurate information regarding your business, clients, and estate sale operations.
  • Ensure all items listed in the Platform are legally owned by your clients and may be legally sold.
  • Be solely responsible for any address, location, or contact information you publish on the Platform. You acknowledge and accept all risks of disclosing such information, including but not limited to theft, vandalism, trespass, or burglary.
  • Contract Template Responsibility: You are solely responsible for ensuring the legal validity, accuracy, and compliance of any contract templates you create, upload, or use within EstateFlow. EstateFlow provides template tools, but you must ensure all contracts comply with applicable state, local, and federal laws, including but not limited to contract formation requirements, disclosure obligations, and fiduciary duties.
  • Fee Calculation Accuracy: While EstateFlow provides fee calculation tools, you are responsible for verifying the accuracy of all fee calculations, commission rates, and settlement amounts before finalizing any client agreements or payouts.
  • Compliance: You are solely responsible for ensuring your use of the Platform and all operations conducted through it comply with all applicable laws, regulations, and professional standards governing estate sale operations in your jurisdiction.
  • Maintain the confidentiality of your account credentials and immediately notify us of any unauthorized access.

5. Prohibited Activities

You agree not to:

  • Use the Platform for illegal or unauthorized purposes.
  • Post false, misleading, or fraudulent content.
  • Submit fraudulent or inaccurate financial data, including but not limited to misrepresenting sales figures, fees, or settlement amounts.
  • Misuse or misclassify inventory items in a manner that could result in compliance violations or financial discrepancies.
  • Harass, threaten, or abuse other users or EstateFlow personnel.
  • Post or share an address without authorization from the lawful property owner or occupant.
  • Attempt to gain unauthorized access to the Platform or other users' data.
  • Use automated systems to scrape, collect, or misuse Platform data, including client information, inventory data, or proprietary algorithms.
  • Reverse engineer, decompile, or attempt to extract the source code of the Platform.

6. Content and Intellectual Property

You retain ownership of content you post. By posting content, you grant EstateFlow a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content solely for providing Platform services.

Platform content, including but not limited to design, branding, and software, is owned by EstateFlow and protected by intellectual property law.

7. Payments and Fees

EstateFlow operates on a subscription-based model. Subscription fees are stated in advance and charged according to your selected plan. All subscriptions renew automatically on a monthly or annual basis (as selected) unless canceled by you at least 30 days prior to the renewal date.

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

We reserve the right to change our pricing with 30 days' notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing. Refunds for unused portions of subscriptions are handled at our sole discretion.

8. Disclaimers

The Platform is provided "as is" and without warranty of any kind, express or implied. We make no guarantees regarding the accuracy, reliability, or safety of any information posted by users, including but not limited to addresses, sale details, or item descriptions.

Contract Template Disclaimer: EstateFlow makes no warranty regarding the legality, accuracy, or compliance of contracts generated using the Template Builder or any contract templates provided through the Platform. The legal validity, enforceability, and compliance of all contracts remain the sole responsibility of the Professional User. You are advised to consult with legal counsel before using any contract templates in your operations.

Data and Legal Accuracy Disclaimer: While EstateFlow provides tools for fee calculation, inventory management, and settlement processing, we make no warranty regarding the accuracy of financial calculations, tax compliance, or regulatory compliance. You are solely responsible for verifying all calculations, ensuring compliance with applicable laws, and fulfilling your fiduciary duties to clients.

Safety Disclaimer: EstateFlow does not verify the safety or security of sale locations. You acknowledge that publishing or attending an address carries risks (including theft, vandalism, or crime) and agree you do so at your own risk. We strongly recommend professional users take appropriate precautions, such as limiting address visibility until necessary.

9. Limitation of Liability

To the fullest extent permitted by law, Estate Flow LLC's total liability for any claims arising from or related to your use of the Platform, whether in contract, tort, or otherwise, shall not exceed the amount paid by you to Estate Flow LLC in the twelve (12) months preceding the event giving rise to the claim.

Estate Flow LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Losses resulting from errors in fee calculations, commission rates, or settlement amounts;
  • Damages arising from the use of contract templates that are legally invalid, non-compliant, or unenforceable;
  • Financial losses resulting from misclassification of inventory items or incorrect pricing data;
  • Losses resulting from failure to comply with state, local, or federal laws governing estate sale operations;
  • The disclosure of an address or location by a user;
  • Any criminal or unlawful act by third parties at or near a sale;
  • Errors, omissions, or delays in Platform functionality, including but not limited to data loss, system downtime, or integration failures;
  • Loss of profits, revenue, data, or business opportunities, even if Estate Flow LLC has been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless Estate Flow LLC, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Platform, your content, or your violation of these Terms.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to our collection and use of personal data as outlined in that policy.

12. Termination

We may suspend or terminate your account at any time for violations of these Terms. You may also close your account at any time by contacting support. Upon termination, your right to use the Platform ceases immediately.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law principles.

Mandatory Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the relationship between you andEstate Flow LLC shall be resolved exclusively through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Atlanta, Georgia, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

You and Estate Flow LLC agree to waive any right to a jury trial and agree that disputes will be resolved on an individual basis, not as part of a class action or representative proceeding.

14. Changes to Terms

We reserve the right to update or modify these Terms at any time. Changes take effect immediately upon posting. Continued use of the Platform constitutes acceptance of the revised Terms.
